TERMS & CONDITIONS

These Terms and Conditions ("Terms", "Agreement") govern the relationship between Quantum Logistics LLC ("Company", "we", "us", or "our"), headquartered in Orlando, Florida, and the independent motor carriers, owner-operators, fleet owners ("Carrier", "Client", "you"), and website visitors using our truck dispatch services and website (quantamlogistic.com).

1. SCOPE OF DISPATCH SERVICES

Quantum Logistics acts solely as an independent truck dispatcher and back-office administrative service provider on behalf of Carrier. We are not a motor carrier, nor do we assume possession or custody of freight. Carrier retains exclusive direction, operational control, and responsibility for its vehicles, equipment, and drivers at all times.

2. ZERO FORCED DISPATCH & LOAD APPROVAL

Carrier maintains 100% autonomy over which loads are accepted. Quantum Logistics will search, negotiate rates, and propose shipments according to Carrier's stated preferences. No load will be officially booked or contracted without the verbal, written, or electronic confirmation of Carrier.

3. SERVICE FEES & PAYMENT TERMS

Percentage Fee: Quantum Logistics charges an agreed percentage ([5–8%]) of gross revenue for loads booked by our dispatchers.
No Hidden Charges: There are zero setup fees, no monthly retainer minimums, and zero charges when Carrier's truck is not hauling freight dispatched by Quantum Logistics.
Weekly Settlements: Invoices are generated once weekly and are payable upon receipt via ACH transfer, debit/credit card, or deduction via Carrier's factoring company.

4. NO LONG-TERM CONTRACT & TERMINATION

All dispatch agreements are week-to-week. Either party may terminate the dispatch relationship at any time by providing written notice via email or WhatsApp. There are zero cancellation or early termination penalties. Carrier remains responsible for paying dispatch fees only for shipments completed prior to termination.

5. CARRIER REPRESENTATIONS & COMPLIANCE

Carrier warrants that it holds and maintains:

Active and valid FMCSA Motor Carrier (MC) or USDOT operating authority.
Commercial auto liability insurance with minimum limits of $1,000,000.
Cargo insurance coverage with minimum limits of $100,000.
Full compliance with all federal, state, and local safety regulations, hours of service (HOS), and driver licensing.

6. LIMITATION OF LIABILITY

Quantum Logistics shall not be liable for cargo loss, damage, theft, delivery delays, traffic infractions, mechanical breakdowns, or indirect or consequential damages arising from the transportation of goods. Carrier's cargo and liability insurance policies serve as primary coverage for all transit claims.

7. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action arising from these terms shall be brought in the courts located in Orange County, Florida.
